Noel Tata has intensified his challenge to N. Chandrasekaran’s reappointment as Executive Chairman of Tata Sons, alleging procedural irregularities in the board’s decision and raising concerns over potential conflicts.

In a letter addressed to Tata Sons Company Secretary Suprakash Mukhopadhyay, Noel Tata has sought extensive records and disclosures within seven days. He has argued that the resolution reappointing Chandrasekaran for a further five-year term beginning February 21, 2027, is invalid due to alleged procedural lapses.

Questions over board agenda and approval process

Noel Tata has questioned how the reappointment proposal was introduced during the board’s deliberations. According to his letter, neither the original nor the revised board agenda explicitly identified a resolution on the Executive Chairman’s reappointment. Instead, Item 7 was described as a “Debriefing from Nomination and Remuneration Committee (NRC)”.

He alleged that the reappointment resolution was moved under this item despite the NRC’s agenda and meeting minutes not having been circulated to the directors.

He also questioned whether a selection committee required under Article 118 of Tata Sons’ Articles of Association had been constituted. Further, he alleged that the affirmative vote required from directors appointed under Article 104B, read with Article 121, had not been obtained.

Another issue raised in the letter concerns the timing of the certification and filing of the resolution. Noel Tata objected to the company secretary certifying the resolution and submitting it to the Registrar of Companies before the board minutes had been finalised.

Seeks meeting recordings and voting records

To support his challenge, Noel Tata has requested access to the original audio-video recording and transcript of the September 17 board meeting, the final minutes, individual voting records and an audit trail documenting changes to board papers.

The requested material could help establish how the reappointment proposal was presented, discussed and approved, as well as whether the relevant procedural requirements were followed.

The allegations form part of Noel Tata’s challenge to the validity of the board decision. The letter’s claims do not, by themselves, establish that the resolution is legally invalid.

Raises potential conflict-of-interest concerns

The second major issue raised by Noel Tata concerns Hanno One Warehousing, a company whose directors include Chandrasekaran’s wife and son.

He has questioned whether these commercial relationships were disclosed to Tata Sons before the reappointment was considered.

Noel Tata has also raised concerns about the role of Venu Srinivasan, Chairman Emeritus of TVS Motor and a member of Tata Sons’ Nomination and Remuneration Committee.

According to the letter, Srinivasan participated in deliberations on September 3 and cast the vote of a director appointed under Article 104B. Noel Tata argued that Srinivasan should have disclosed the relevant dealings and recused himself from the process.

The dispute centres on the procedures followed in approving Chandrasekaran’s proposed second term, the interpretation of Tata Sons’ governance provisions and questions about potential conflicts of interest. The records sought by Noel Tata are intended to clarify the circumstances surrounding the decision.
